SECTION 1 — MISSION STATEMENT
The Mission of ITV VENTURES™ is to create physical and financial health and wellness to its Independent Business Owners and Customers alike by Positively Impacting People® with the best products from science and Nature coupled with the most innovative business systems in the world.
Section 2 — INTRODUCTION
2.1 — Policies and Compensation Plan Incorporated into Representative Agreement
These Policies and Procedures, in their present form and as amended at the sole discretion of ITV MARKETING GROUP Inc. d/b/a ITV Ventures™ (hereafter “ITV” or the “Company”), are incorporated into, and form an integral part of, the ITV Representative Agreement. Throughout these Policies, when the term “Agreement” is used, it collectively refers to the ITV Representative Application and Agreement, the Terms and Conditions of the Agreement, these Policies and Procedures, the ITV Marketing and Compensation Plan, and the ITV Business Entity Application (if applicable).
These documents are incorporated by reference into the ITV Representative Agreement (all in their current form and as amended by ITV). All documents will be available online in the Representative Business Center. It is the responsibility of each Representative to read, understand, adhere to, and ensure that he or she is aware of and operating under the most current version of these Agreement documents. When sponsoring or enrolling a new Representative, it is the responsibility of the sponsoring Representative to provide the most current version of these Policies and Procedures and the ITV Marketing and Compensation Plan to the applicant prior to his or her execution of the Representative Agreement.
2.2 — Purpose of Policies
ITV is a Representative based sales company that markets exclusively formulated nutritional products and other complimentary services through independent Representatives. It is important to understand that your success and the success of your fellow Representatives are dependent upon the integrity of the men and women who market our products. To clearly define the relationship that exists between Representatives and ITV, and to explicitly set a standard for acceptable business conduct, ITV has established the Agreement.ITV Representatives are required to comply with all of the Terms and Conditions set forth in the Agreement which ITV may amend at its sole discretion from time to time, as well as all federal, state, provincial, territorial, and local laws governing their ITV business and their conduct. Because you may be unfamiliar with many of these standards of practice, it is very important that you read and abide by the Agreement. Please review the information in this manual carefully. It explains and governs the relationship between you, as an independent contractor, and the Company. If you have any questions regarding any policy or rule, do not hesitate to seek an answer from anyone in your upline or ITV.
2.3 — Changes to the Agreement
Because federal, state, provincial, territorial and local laws, as well as the business environment, periodically change, ITV reserves the right to amend the Agreement and product prices in its sole and absolute discretion. By signing the Representative Agreement, a Representative agrees to abide by all amendments and modifications that ITV elects to make. Amendments and modifications shall be effective upon posting such on the Representatives’ Business Center website. All official ITV printed materials will be updated with amendments and modifications at the next printing of that official material. The Company shall make available to all Representatives a complete copy of the amended provisions by one or more of the following methods: (1) posting on the Company’s official website; (2) posting on the Representative’s Business Center website; (3) electronic mail (e—mail); or (4) inclusion in product orders or bonus checks.
Each amendment and modification will be identified with an “Update” followed by the effective date. As the various official documents of the Agreement accumulate updates, the company will insert the amendments and modifications into the documents and post a new “Version” of the Agreement documents, identifying that version with a version number and date. All Representatives are personally responsible for keeping up to date with any amendments and modifications. The continuation of a Representative’s ITV business or a Representative’s acceptance of bonuses or commissions constitutes acceptance of any and all amendments.
All levels of product pricing (Representative, Total Living Member, Customer, online) plus the individual PV(Personal Volume) are subject to infrequent adjustments according to the sole and absolute discretion of ITV. Prior to the actual installation of price changes, these adjustments will be announced online and updated documents displaying the adjustments and effective date will be available from the document download page of the Business Center website.
2.4 — Delays
ITV shall not be responsible for delays or failures in performance of its obligations when performance is made commercially impracticable due to circumstances beyond its reasonable control. This includes, without limitation, strikes, labor difficulties, riot, war, fire, death, curtailment of a party’s source of supply, or government decrees or orders.
2.5 — Policies and Provisions Severable
If any provision of the Agreement, in its current form or as may be amended, is found to be invalid, or unenforceable for any reason, only the invalid portion(s) of the provision shall be severed and the remaining terms and provisions shall remain in full force and effect and shall be construed as if such invalid, or unenforceable provision never comprised a part of the Agreement.
2.6 — Waiver
The Company never gives up its right to insist on compliance with the Agreement and with the applicable laws governing the conduct of a business. No failure of ITV to exercise any right or power under the Agreement or to insist upon strict compliance by a Representative with any obligation or provision of the Agreement, and no custom or practice of the parties at variance with the terms of the Agreement, shall constitute a waiver of ITV’S right to demand exact compliance with the Agreement. Waiver by ITV can be affected only in writing by an authorized officer of the Company. ITV’S waiver of any particular breach by a Representative shall not affect or impair ITV’S rights with respect to any subsequent breach, nor shall it affect in any way the rights or obligations of any other Representative. Nor shall any delay or omission by ITV to exercise any right arising from a breach affect or impair ITV’S rights as to that or any subsequent breach.
The existence of any claim or cause of action of a Representative against ITV shall not constitute a defense to ITV’S enforcement of any term or provision of the Agreement.
